Position Overview

Crowd Street, a leading online investment platform, is seeking an Associate General Counsel to join our in-house legal and compliance team. The Sr. VP, Associate General Counsel role is instrumental in the success of the Legal & Compliance team at CrowdStreet and focuses primarily on private investment opportunities to high net worth investors through Crowd Street’s registered broker-dealer. Reporting to the Chief Legal Officer, you will work closely with the capital markets, investments, operations, marketing, and compliance teams to support investment opportunities through the full investment life cycle. An ideal candidate will have extensive experience with private offerings and commercial real estate investments, as well as general corporate experience.

The Success You'll Build

  • Play a key role in delivering quality investment opportunities to Crowd Street investors.
  • Negotiate brokerage and services agreements with sponsors of commercial real estate and private fund investments.
  • Ensure securities offerings conform to Crowd Street standards and regulatory requirements, including compliance with the securities rules and regulations and FINRA rules, particularly the application of Reg D and Rule 2210 with respect to accredited investors (non-institutional).
  • Negotiate partnership and operating agreements and private offering documents, including private placement memorandums, operating agreements, and subscription agreements, working closely with our investments, investment performance, and marketplace operations teams.
  • Negotiate and interpret contracts; manage contract enforcement efforts and litigation
  • Support general corporate matters, including vendor agreements, corporate governance, human resources matters.
  • Support risk mitigation and litigation management.
  • Support investor relations and marketing teams in drafting external communications.
  • Manage complex matters independently, prioritizing multiple open matters and fast-paced processes.
  • Serve on cross-functional teams to support innovation and corporate initiatives.
  • Use excellent communication skills, knowledge, and judgment to regularly assess, advise, and recommend solutions to complex challenges.

The Experiences and Competencies Necessary for Success

  • Juris Doctor degree from an accredited law program
  • Admission to practice in New York or the state of residence
  • 8+ years of private investment offering experience, including commercial real estate offerings or JV agreements
  • 2+ years of rigorous law firm experience
  • Deep understanding of offering and governance documents (PPMs, subscription agreements, governing documents) for complex structures
  • Passion for learning, building, and problem-solving
  • Exceptional communication skills that foster clear understanding of complex subjects
  • Collaboration and negotiation skills that build trust and strong relationships

Job Location

This role is a hybrid-remote role based in our New York Corporate Headquarters in Midtown Manhattan. Our hybrid work model offers flexibility, with in-office requirements determined by business needs, with an expectation of ability to work in the office up to three days a week.

Compensation & Benefits Statement

The estimated salary range for this position in NYC is $210,000 - $260,000 per year. Compensation and final offer will be determined based on a variety of factors, including experience, skills, qualifications, location, and overall fit for the role.
